Please read these Terms of Service carefully before accessing or using Protabs.

1. Definitions

For the purposes of these Terms of Service:

Application means the Shopify application provided by the Company under the name Protabs, which enables merchants to create, manage, and display product tabs and related product information on their online stores.

Affiliate means any entity that directly or indirectly controls, is controlled by, or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interests, or other securities entitled to vote for the election of directors or other governing authority.

Account means the account or Shopify store connection through which You access or use the Service.

Company, We, Us, or Our refers to the operator of Protabs.

Content means any text, images, product information, descriptions, files, or other materials that You submit, upload, publish, or otherwise make available through the Service.

Device means any device used to access the Service, including a computer, mobile phone, tablet, or other internet-enabled device.

Feedback means suggestions, comments, ideas, recommendations, or other feedback You provide regarding the Service, including its features, performance, or functionality.

Service means the Protabs Application, website, related services, and associated features provided by the Company.

Terms or Terms of Service means these Terms of Service and any policies or additional terms incorporated into them.

Third-Party Services means services, applications, platforms, websites, or other products provided by third parties that may integrate with, link to, or otherwise interact with the Service.

Website refers to the Protabs website and related web pages.

You or Your means the individual accessing or using the Service, or the company, business, or other legal entity on whose behalf the Service is accessed or used.

2. Acceptance of These Terms

These Terms of Service constitute a legally binding agreement between You and the Company concerning Your access to and use of Protabs.

By installing, accessing, or using Protabs, You acknowledge that You have read, understood, and agreed to these Terms. If You do not agree with any part of these Terms, You must not install or use the Service.

You represent that You have the legal capacity and authority to enter into these Terms. If You use Protabs on behalf of a business or other organization, You represent that You have the authority to bind that entity to these Terms.

Your use of the Service is also subject to Our Privacy Policy, which explains how We collect, use, and protect information associated with Your use of Protabs.

3. Shopify Store and Account

Protabs is designed to operate with Shopify stores. To use certain features, You may be required to install the Application through Shopify and authorize Protabs to access information or functionality necessary to provide the Service.

You are responsible for ensuring that the information associated with Your Shopify store and Protabs account is accurate and up to date.

You are also responsible for maintaining the security of Your Shopify account and any credentials used to access the Service. You must promptly notify Us if You become aware of unauthorized access, suspicious activity, or another security issue involving Your account or use of Protabs.

You are responsible for all activities performed through Your account or Shopify store in connection with the Service.

4. Use of the Service

Subject to these Terms, We grant You a limited, non-exclusive, non-transferable, revocable right to access and use Protabs for the purpose of managing and displaying product information and tabs on Your Shopify store.

You agree to use the Service only in accordance with these Terms, applicable laws, Shopify’s applicable requirements, and any other rules governing Your Shopify store.

You must not:

  • Use the Service for any unlawful, fraudulent, abusive, or unauthorized purpose.
  • Attempt to gain unauthorized access to the Service, its systems, or another user’s account.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying technology of the Service, except where such restriction is prohibited by applicable law.
  • Copy, reproduce, modify, distribute, sell, lease, sublicense, or commercially exploit the Service or any part of it without Our prior written permission.
  • Interfere with or disrupt the operation, security, or performance of the Service.
  • Introduce viruses, malware, malicious code, or other harmful material into the Service.
  • Use automated methods to access or interact with the Service in a manner that places an unreasonable burden on Our systems.
  • Use the Service to violate the intellectual property, privacy, publicity, or other rights of another person or entity.
  • Attempt to circumvent any security, usage, or access restrictions associated with the Service.

We reserve the right to investigate suspected violations of these Terms and take appropriate action where necessary.

5. Your Content

Protabs allows You to create, upload, edit, and display Content, including product descriptions, tab titles, images, specifications, policies, and other information on Your Shopify store.

You retain ownership of the Content You provide.

You are solely responsible for Your Content, including its accuracy, legality, reliability, and suitability for publication on Your store.

By using the Service, You grant Us a limited, worldwide, non-exclusive license to host, process, reproduce, modify, transmit, and display Your Content solely to the extent necessary to operate, maintain, improve, and provide the Service to You.

You represent and warrant that:

  • You own or otherwise have sufficient rights to use Your Content;
  • Your Content does not infringe or violate the rights of any third party;
  • Your Content complies with applicable laws and regulations; and
  • Your Content does not contain malicious code or other material that could compromise the Service or another person’s systems.

We do not claim ownership of Your product content or other materials that You submit to Protabs.

6. Prohibited Content

You may not use Protabs to publish or distribute Content that:

  • Is illegal or promotes illegal activities.
  • Is fraudulent, deceptive, defamatory, threatening, or abusive.
  • Infringes copyrights, trademarks, patents, trade secrets, or other intellectual property rights.
  • Violates another person’s privacy, publicity, or other legal rights.
  • Contains malware, viruses, worms, Trojan horses, or other harmful code.
  • Contains unauthorized advertising, spam, or unsolicited promotional material.
  • Impersonates another individual, business, or organization.
  • Contains misleading product claims or information intended to deceive customers.
  • Violates applicable laws, regulations, Shopify requirements, or third-party platform policies.

We reserve the right, but are not obligated, to remove or restrict Content that We reasonably believe violates these Terms or applicable law.

7. Service Availability and Changes

We aim to keep Protabs reliable and available, but We do not guarantee that the Service will always be uninterrupted, secure, or error-free.

The Service may occasionally be unavailable due to maintenance, upgrades, technical problems, third-party services, Shopify platform changes, or circumstances beyond Our reasonable control.

We may modify, update, suspend, or discontinue any feature of Protabs at any time. Where reasonably practicable, We may provide notice of material changes that significantly affect the Service.

We are not responsible for interruptions or changes caused by Shopify, third-party providers, internet service providers, or other systems outside Our reasonable control.

8. Third-Party Services

Protabs may interact with Shopify and other third-party services.

Your use of third-party services is governed by the terms and policies of those third parties.

We do not control and are not responsible for the availability, security, accuracy, functionality, or practices of third-party services.

You acknowledge that changes made by Shopify or another third party may affect the functionality or compatibility of Protabs.

Where appropriate, We encourage You to review the terms and privacy policies applicable to any third-party service You use in connection with Protabs.

9. Intellectual Property

The Service, including its software, design, interface, features, functionality, documentation, branding, graphics, and original content provided by the Company, is owned by or licensed to the Company and is protected by applicable intellectual property laws.

Except for the limited rights expressly granted under these Terms, no rights or ownership in the Service are transferred to You.

You may not use the Protabs name, logo, trademarks, branding, or other proprietary materials without Our prior written permission.

Your product information, store content, and other materials that You submit to the Service remain Your property, subject to the license described in these Terms.

10. Feedback

If You provide Us with suggestions, ideas, recommendations, or other feedback concerning Protabs, You agree that We may use that Feedback without restriction and without any obligation to compensate You.

You grant Us a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use, reproduce, modify, distribute, and otherwise incorporate such Feedback into the Service or Our products and services.

11. Copyright and Intellectual Property Complaints

We respect the intellectual property rights of others.

If You believe that material available through Protabs infringes Your copyright or other intellectual property rights, You may contact Us at [email protected] with sufficient information to identify the allegedly infringing material and explain the basis of Your claim.

Where appropriate and at Our discretion, We may investigate and take action concerning alleged infringement.

You should ensure that any infringement claim You submit is accurate and made in good faith.

12. Data and Backups

You are responsible for maintaining appropriate backups of Your store information and Content.

While We may take reasonable measures to maintain the integrity and availability of data associated with the Service, We do not guarantee that Your Content will never be lost, corrupted, deleted, or otherwise affected.

You should maintain independent copies of important product information and other Content that You use with Protabs.

We will make reasonable efforts to address known technical issues affecting the Service, but We cannot guarantee the successful recovery of all Content in every circumstance.

13. Termination

You may stop using Protabs or uninstall the Application from Your Shopify store at any time.

We may suspend or terminate Your access to the Service, with or without prior notice, if:

  • You breach these Terms;
  • You use the Service in a manner that may cause harm to Us, other users, Shopify, or third parties;
  • Your use of the Service violates applicable laws or regulations;
  • Your account or use of the Service creates a security or operational risk; or
  • We discontinue the Service.

Upon termination, Your right to access and use Protabs will cease.

Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitations of liability, dispute provisions, and applicable indemnification obligations, will remain in effect.

14. Limitation of Liability

To the maximum extent permitted by applicable law, the Company and its affiliates, officers, employees, agents, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to Your use of, or inability to use, the Service.

This includes, without limitation, loss of profits, revenue, sales, business opportunities, goodwill, customers, data, or business interruption.

To the maximum extent permitted by applicable law, Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of:

  • the amount You actually paid to Us for the Service during the twelve (12) months immediately preceding the event giving rise to the claim; or
  • US$100, if You have not paid Us any fees during that period.

Nothing in these Terms limits liability that cannot legally be limited or excluded under applicable law.

15. Disclaimer of Warranties

Protabs is provided on an “AS IS” and “AS AVAILABLE” basis, to the maximum extent permitted by applicable law.

We make no warranties or representations, express or implied, that:

  • The Service will always be available or uninterrupted;
  • Protabs will meet Your specific business requirements;
  • The Service will produce a particular level of sales, conversion rates, revenue, or other business results;
  • The Service will be compatible with every Shopify theme, application, integration, or third-party service;
  • The Service will be completely free from errors, defects, or security vulnerabilities; or
  • Any errors or defects will always be corrected.

You acknowledge that the performance of product tabs and related functionality may depend on Your Shopify theme, store configuration, other applications, third-party services, and changes to the Shopify platform.

To the fullest extent permitted by law, We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

16. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws applicable to the Company, without regard to conflict-of-law principles.

Your use of Protabs may also be subject to mandatory laws and regulations applicable in the jurisdiction where You operate Your business.

17. Dispute Resolution

If You have a concern or dispute regarding Protabs, You agree to first contact Us at [email protected] and make a reasonable effort to resolve the matter informally.

Nothing in this section prevents either party from exercising rights or remedies that cannot legally be waived or restricted under applicable law.

18. European Union Users

If You are a consumer residing in the European Union, nothing in these Terms is intended to limit any mandatory consumer rights or protections available to You under the laws of Your country of residence.

Where applicable, those mandatory rights will continue to apply regardless of the provisions contained in these Terms.

19. United States Federal Government Users

If You are a U.S. federal government end user, Protabs and its related documentation are provided as a “Commercial Item” as that term is defined under applicable U.S. federal acquisition regulations.

20. United States Legal Compliance

You represent and warrant that Your use of Protabs complies with applicable United States laws and regulations.

You must not use the Service in violation of applicable sanctions, export controls, or other restrictions imposed by the United States or other applicable authorities.

21. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, where permitted by law.

The remaining provisions of these Terms will continue in full force and effect.

22. Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of Our right to enforce that provision in the future.

A waiver of any breach will not be considered a waiver of any subsequent breach.

23. Language and Interpretation

These Terms may be made available in languages other than English for convenience.

In the event of any conflict or inconsistency between the English version and a translated version, the English version will control to the extent permitted by applicable law.

24. Changes to These Terms

We may update or revise these Terms from time to time.

If We make material changes, We may provide reasonable notice through the Service, Our Website, or other appropriate communication channels.

The updated Terms will become effective on the date specified in the revised Terms.

By continuing to access or use Protabs after the updated Terms become effective, You agree to be bound by the revised Terms. If You do not agree with the changes, You should stop using the Service.
